Qualifications:

  • At least 5 years’ experience in an HR management role, ideally within a professional services environment (eg, accountancy, finance, legal, or consulting).
  • Strong and up-to-date knowledge of HR best practices, UK employment law, and regulatory requirements.
  • Broad understanding of core HR functions, including recruitment, employee relations, performance management, learning and development, and compensation and benefits.

Company Secretarial Department Assistant

Overview

Thompson Wright is seeking a motivated and detail-oriented Company Secretarial Assistant to join our growing Corporate Services team. This role provides vital support in managing statutory compliance and company secretarial obligations for a diverse portfolio of clients.

The position will suit an organised individual with strong administrative and communication skills who enjoys working in a structured, process-driven environment. As the firm continues to expand, the successful candidate will play a key role in maintaining high standards of compliance and client service, with opportunities for professional development and further training in company law and corporate governance.

Key Responsibilities

1. Confirmation Statements and Statutory Filings

  • Prepare, review, and submit confirmation statements for client companies.
  • Manage both automated and manual processes for confirmation statement preparation and chasing, including exceptions for complex or multi-recipient clients.
  • Maintain accurate company data on internal systems.
  • Liaise with client managers and clients to ensure filings are approved and submitted within statutory deadlines.

2. Dormant Accounts Administration

  • Generate and review monthly reports of companies requiring dormant accounts.
  • Liaise with client managers to confirm dormancy status and fee arrangements.
  • Prepare and send dormant account forms for signature and submission to Companies House.
  • Follow up with clients and ensure timely filing of dormant accounts.

3. Change of Year End and Other Company Filings

  • Prepare and submit change of accounting year-end forms via IRIS and Companies House.
  • Update company records and ensure all filings are recorded on internal systems.
  • Support the preparation and submission of other routine company filings such as officer appointments, resignations, and changes to registered office details.

4. ID Verification of Directors and PSCs

  • Assist clients with obtaining and processing personal identification codes for new and existing directors and Persons with Significant Control (PSCs) in line with Companies House and anti-money laundering requirements.
  • Liaise with clients and colleagues to resolve verification queries efficiently.

5. Administrative and Support Functions

  • Maintain accurate and well-organised electronic filing systems for company secretarial records.
  • Assist in the preparation of correspondence, filing checklists, and compliance reminders.
  • Support the billing process for company secretarial services, ensuring timesheets and chargeable work are recorded accurately.
  • Provide support to senior staff with ad-hoc company secretarial work, including incorporations, share transactions, and corporate restructuring where required.
