As part of sweeping reforms under the Economic Crime and Corporate Transparency Act 2023, Companies House is introducing a new requirement: mandatory identity verification for all company directors and persons with significant control (PSCs). This change is being introduced to help combat fraud and the misuse of UK companies.
Why Identity Verification Is Important
To enhance trust and security in UK companies, Companies House is enforcing identity verification to ensure that the individuals setting up, running, or controlling companies are who they say they are. This initiative is a critical step in preventing the misuse of corporate structures for illicit purposes.
Deadline: Identity verification becomes mandatory from Autumn 2025
We strongly encourage all clients to start preparing now to avoid last-minute delays or disruptions.
How You Can Verify Your Identity
You can verify your identity via one of the following options:
1. Online via GOV.UK One Login
You can verify your identity using your personal identification documents. This is expected to be the fastest and most straightforward method for UK-based directors.
Click the link for the Goverment One Login.
2. In-Person at Select Post Offices
If you live in the UK, you may be able to complete the verification process in person at certain Post Offices. You’ll first need to check your eligibility through the “Verify your identity for Companies House” service.
Click the link to check what Post Offices offers this service.
3. Via an Authorised Corporate Service Provider (ACSP)
As a registered agent, Thompson Wright is in the process of implementing a software-based solution to carry out verification on your behalf. Please note there will be a charge for this service and we will provide more details regarding this as soon as possible.
If you are a director based outside the UK, you may need additional time to complete this process.
Understanding the Verification Process
This is a two-step process:
Step 1: Identity Verification
Once verified, you’ll receive a Companies House personal code – this is unique to you and should be kept secure.
Step 2: Linking Your Identity
Starting in Autumn 2025, you will need to link your verified identity to each company role you hold using your personal code and a verification statement.
What Happens If You Don’t Verify?
Failing to complete your identity verification could lead to serious consequences, including:
- Inability to submit your confirmation statement or other filings.
- Potential financial penalties.
- Potential disqualification from forming new companies.
Now is a good time to review and correct any outdated personal details (such as your full name, address, and date of birth) held by Companies House to avoid verification issues.
